DATO’ SRI YAP NGAN CHOY

EXECUTIVE CHAIRMAN / GROUP MANAGING DIRECTOR

Dato’ Sri Yap Ngan Choy is the Executive Chairman/Group Managing Director of the Company and was appointed to the Board on 22 August 2019. Dato’ Sri Yap was redesignated from Group Managing Director to Executive Chairman/ Group Managing Director on 19 November 2019.

Dato’ Sri Yap started his career as a tiling contractor and has more than 40 years of experience in property development and property related business. In 1985, Dato’ Sri Yap ventured into the construction industry by setting up his own company which specializes in tiling works. In 1997, Dato’ Sri Yap had further established a construction company.

Among the tiling and construction projects that were successfully completed under Dato’ Sri Yap included multiple notable projects for hotels, condominiums, housing commercial hubs and complexes, the Prime Minister’s office and residence in Putrajaya as well as various government projects across Malaysia. In 2008, Dato’ Sri Yap ventured into property development and had successfully rehabilitated various abandoned projects with the major ones being Bandar Salak Perdana which was one of the largest abandoned projects in Malaysia at that time and was completed and handed over to owners in 2014.

Dato’ Sri Yap further embarked on the rehabilitation of another abandoned project which was revived into the Ion Delemen development in Genting Highlands in 2012. Collectively, Dato’ Sri Yap has completed development projects with an estimated aggregate gross development value of approximately RM1.0 billion.

Throughout his illustrious career, Dato Sri’ Yap has mastered his trade with excellence and has won numerous personal awards as testimony. In 2013, he was awarded the Asia Honesty Entrepreneur Award by Asia Excellence Entrepreneur Federation (AEEF). He won the SME Entrepreneur of the Year 2014 awarded by BrandLaureate and the Excellence Entrepreneur Award at the Malaysia Golden Entrepreneur Awards 2014.

Dato’ Sri Yap does not hold directorship in other public companies and listed issuers but holds directorships in several private limited companies.

Dato’ Sri Yap is the brother of Dato’ Yap Fook Choy, the father of Yap Chun Theng, Yap Pui Yee and the uncle of Sae- Yap Atthakovit. Dato’ Sri Yap is the controlling shareholder of YBG Yap Consolidated Sdn Bhd, the Company’s major shareholder.

DATO’ YAP FOOK CHOY

GROUP EXECUTIVE DIRECTOR

Dato’ Yap Fook Choy is the Group Executive Director of the Company and was appointed to the Board on 22 August 2019. Dato’ Yap was redesignated from Executive Director to Group Executive Director on 25 September 2019.

Dato’ Yap has an extensive experience in tiling, construction and property development business. Under his able and dynamic leadership, Dato’ Yap had completed major multi- million dollar projects for the corporate and private sectors.

Dato’ Yap has more than 35 years of experience in property development and property related business. In 2008, Dato’ Yap ventured into property development sector with his brother, Dato’ Sri Yap Ngan Choy. Amongst his notable completed project under his supervision was the rehabilitation of Bandar Salak Perdana which was one of the largest abandoned projects in Malaysia at that time. He was also instrumental in the successful revival of another abandoned project in Genting Highlands which is now known as the Ion Delemen development.

Collectively, Dato’ Yap has completed development projects with an estimated aggregate gross development value of approximately RM1.0 billion. These projects have gone on to win various prestigious awards from ASEAN Property Awards, Asia Pacific Property Awards, Malaysia Tourism Council Gold Award, and The Malaysia Book of Records, to name a few.

Dato’ Yap does not hold directorship in other public companies and listed issuers but holds directorships in several private limited companies.

Dato’ Yap is the brother of Dato’ Sri Yap Ngan Choy, the father of Sae-Yap Atthakovit and the uncle of Yap Chun Theng and Yap Pui Yee. Dato’ Yap is the shareholder of YBG Yap Consolidated Sdn Bhd, the Company’s major shareholder.

 

CHEONG KEE YOONG

SENIOR INDEPENDENT NON-EXECUTIVE DIRECTOR

Cheong Kee Yoong is the Senior Independent Non-Executive Director of the Company. He was appointed to the Board on 30 June 2008 and subsequently appointed as the Senior Independent Non-Executive Director on 24 April 2013.

Mr. Cheong is the member of Audit Committee as well as Nomination and Remuneration Committee. He is also the Chief Financial Officer of Southern Acids (M) Berhad, a company listed on the Main Market of Bursa Malaysia Securities Berhad.

As a graduate of the Association of Chartered Certified Accountants and a member of Malaysian Institute of Accountants, Mr. Cheong has more than 20 years of working experience particularly in corporate planning, fund raising, treasury management, investors relation activities, tax planning, financial management and risk management in various industries and mainly attached to the corporate office of public listed companies.

Mr. Cheong does not hold directorship in other public companies and listed issuers.

YAP CHUN THENG

EXECUTIVE DIRECTOR

Yap Chun Theng is the Executive Director of the Company and was appointed to the Board on 22 August 2019.

Mr. Yap obtained a Bachelor in Quantity Surveying and Construction Cost Management from Nottingham Trent University. He started his career in 2006 as a Contract Executive. He was subsequently promoted to Head of Contracts in 2007 where he was mainly in charge of the contracts and purchasing department and contract administration.

Mr. Yap had since accumulated approximately 14 years in the property development and property related industry wherein he is currently the Group Chief Operating Officer, overseeing all the property development and construction projects of the respective companies.

Mr. Yap does not hold directorship in other public companies and listed issuers but holds directorships in several private limited companies.

Mr. Yap is the son of Dato’ Sri Yap Ngan Choy and the nephew of Dato’ Yap Fook Choy. He is also the sibling of Yap Pui Yee and the cousin of Sae-Yap Atthakovit.

SAE-YAP ATTHAKOVIT

NON-INDEPENDENT NON-EXECUTIVE DIRECTOR

Sae-Yap Atthakovit is the Non-Independent Non-Executive Director of the Company and was appointed to the Board on 22 August 2019. He is the member of Audit Committee as well as the Nomination and Remuneration Committee.

Mr. Sae-Yap graduated from University of Manchester, United Kingdom with a Bachelor in Business Management. He started his career in finance with a comprehensive involvement ranging from the procurement of financing for various projects to short and long term financial planning.

He has also managed and successfully executed several corporate finance transactions which included land related transactions as well as assisted in formulation of business strategies and policies for the Company

Mr. Sae-Yap does not hold directorship in other public companies and listed issuers but holds directorships in several private limited companies.

Mr. Sae-Yap is the son of Dato’ Yap Fook Choy and the nephew of Dato’ Sri Yap Ngan Choy. He is also the cousin of Yap Chun Theng and Yap Pui Yee.

ALLEN YAP KUAN KEE

INDEPENDENT NON-EXECUTIVE DIRECTOR

Allen Yap Kuan Kee is the Independent Non-Executive Director of the Company and was appointed on 25 September 2019. He is the Chairman of both Audit Committee and Nomination and Remuneration Committee.

Mr. Allen started his career in 1993 with a Chartered Accountant firm in Singapore as an audit assistant. He then continued his career in various industries such as services, property development and construction sectors in Malaysia, Singapore and Indonesia.

Mr. Allen is a member of Chartered Accountant of Malaysia (CA), Certified Public Accountants of Singapore (CPA), Fellow of Chartered Certified Accountants UK (FCCA) and ASEAN CPA. He is currently the business owner of Montree Management Services

With more than 25 years of working experiences in accounting, taxation, finance, administration, financial management and consultancy services, he has accumulated vast invaluable experience in the areas of auditing, advisory work involving corporate exercises, liquidation, recovery and turnaround management and corporate advisory related services. He has held several senior executive positions during his working experiences.

Mr. Allen does not hold directorship in other public companies and listed issuers.

TAN KIAN WHOO

CHIEF FINANCIAL OFFICER

Tan Kian Whoo is the Chief Financial Officer of the Company and was appointed on 25 January 2021.

As a graduate from University of Technology, Sydney, Australia with a Bachelor of Business Degree in Accounting and Finance, Mr. Tan started his career with Ernst & Young as an external auditor. He has more than 20 years of working experience in corporate finance, improving internal control operationally, acquisition structure planning, tax planning and risk management.

Mr. Tan is currently a member of the Certified Practicing Accountant (CPA) Australia and the Malaysian Institute of Accountants (MIA). Prior to his appointment, he has held various senior finance positions in other public listed companies in Malaysia throughout his career.

Mr. Tan does not hold any directorships in public companies and listed issuers.

WILLIAM TEE LEONG TECK

GENERAL MANAGER, DEVELOPMENT

William Tee Leong Teck is the General Manager of Development of the Company and was appointed on 1 September 2019.

He oversees the Company’s property management including the coordination and monitoring of the progress of the property development activities from the planning stage up to hand-over. He is a graduate of National Kaohsiung Institute of Technology, where he studied Civil Engineering.

Mr. William started his career in 1983 and has since accumulated over 38 years of experience in the property development industry. He had held responsibility as Project Coordinator, Project Manager, General Manager and Managing Director for various local companies.

His area of expertise is in properties and construction management, with a specialization in overseeing construction work. With his vast industry experience, Mr. William is responsible for project implementation, ensuring and monitoring smooth execution of property construction, to complete project within time, budget and quality.

Mr. William does not hold any directorships in public companies and listed issuers.

WONG SAI KUN

GENERAL MANAGER, CONTRACTS

Wong Sai Kun is the Deputy General Manager of Contract of the Company and was appointed on 1 September 2019.

She graduated from The Nottingham Trent University, United Kingdom with a Bachelor’s Degree in Quantity Surveying. She started her career in 1999 and has since accumulated over 20 years of experience in the field.

Her Professional Quantity Surveying Practice has extended across Asia and the Middle East. She is experienced in the full range of Quantity Surveying functions in pre and post contact stage such as feasibility study, cost estimate, tender document and procurement, contract administration and cost control.

Prior to her appointment in the Company, Ms. Wong had contributed her expertise to various local and international mixed development. In her current role under the Contract Department, Ms. Wong is responsible in planning, implementing and controlling all activities relating to procurement, contract administration and budget, as well as communicating and presenting information to stakeholders for the Group.

Ms. Wong does not hold any directorships in public companies and listed issuers.

1985

In 1985, Dato’ Sri Yap Ngan Choy founded NCT. The company quickly cemented its position as a leader in the supply and installation of tiles for property projects with a special emphasis on the production of high quality, value-added craftsmanship and service. By 1997, NCT Tiling had established itself as the biggest tiling company in Malaysia. The company’s reputation for quality products and timely delivery resulted in various business deals with prominent developers.

2000

From the year 2000 onwards, NCT ventured into construction, real estate and building materials trading with the establishment of NCT Building & Civil Engineering Sdn Bhd. In the span of 30 years, NCT Building & Civil Engineering has completed more than RM 10 billion worth of contracts.  NCT gained a positive reputation as a White Knight developer with the completion of the abandoned La Cottage project in Sepang and also with the construction, rectification and completion of work for a major property developer’s housing development.

2012

Throughout the years, NCT continued to establish a reputation for being a project rehabilitation specialist. In 2012, NCT was entrusted by the Malaysian government to restore Bandar Salak Tinggi, the country’s biggest recovery project to date. NCT successfully rehabilitated the project within three short years and delivered an outstanding number of double-storey houses, 2-1/2-storey terrace houses and medium-cost apartments.

2013

Another proud accomplishment for NCT as a renowned White Knight developer came in 2013 when the company was entrusted to rehabilitate Pahang’s biggest abandoned project – Billion Court. The geographical challenges present was not an easy feat, yet the Company once again successfully rehabilitated the project and aid in creating a new and exciting tourist destination in Genting Highlands.

2019

Dato’ Sri Yap Ngan Choy and Dato’ Joe Yap Fook Choy saw the potential in Grand-Flo Berhad, an IT-related company with a hand in property development. An acquisition was started and the take-over was completed by 2019. With the brothers at the steering wheel, the company performed best in its property section, prompting a new direction for the Group.

2020

As Grand-Flo seeks to realign its business focus, 100% equity stake in Grand-Flo (HK) Limited were disposed for a total cash consideration of RM 3.46 million. The reprioritizing on property also saw the disposal of 80% and 20% equity stakes in Grand-Flo Spiritvest Sdn Bhd to Radiant Globaltech Berhad and Jejaka 7 Capital Sdn Bhd for RM 11.60 million and RM 2.90 million, respectively. With this, Grand-Flo had fully disposed off its business relating to the enterprise data collection and collation system solutions (EDCCS).

2021

Grand-Flo identified three key corporate exercises to solidify the Group’s position in the Property Development sector. These are segmented to Proposed Acquisitions, Proposed Private Placement and Proposed Name Change. Proposed Acquisitions comprise of two acquisitions, namely the land and project development rights of an on-going mixed development project known as the Grand Ion Majestic (GIM), as well as the serviced apartments and commercial retail lots of a completed mixed development project known as Grand Ion Delemen (GID). Both projects are located next to each other and are within close proximity of the well-established Resorts World Genting in Genting Highlands. Additionally, the GID serviced apartments will be acquired by GFB at a bulk discount of 15%; whilst the retail lots shall be rented back to the vendor, Galeri Tropika Sdn Bhd (GTSB) for  a 5-year guaranteed rental yield of 7% per annum, creating a stable recurrent income and cash flow stream for the Group. The total purchase consideration for the Proposed Acquisitions amounts to RM422.9 million, which will be satisfied by cash, assumption of liabilities and issuance of redeemable convertible unsecured loan stocks (RCULS) in tranches to GTSB. In addition, GFB aims to undertake private placement exercises to raise over RM75 million to fund its current and upcoming property development projects. Further to this, the Group has also proposed a name change from GFB to NCT Alliance Berhad.

We make it a priority to ensure compliance and strict adherence to environmental requirements and authorities guidelines, especially in all our development sites. In line with our efforts to comply with the regulatory requirements, we practise close engagement with relevant authorities and our contractors to ensure clear mutual understanding of the requirements. As a property developer, we generate scheduled and non-scheduled waste such as solid waste, environmental waste as well as domestic waste. In line with the regulations governing scheduled waste, we only store scheduled waste at a designated place and only a scheduled waste handler licensed by Department of Environment is allowed to handle the transportation and disposal of the scheduled waste.

NCT takes responsibility to ensure that any potential adverse impact of our operations on the environment is identified and addressed accordingly. We are well aware of climate change issues due to global warming and is committed to address it through the reduction of energy consumption and carbon emission. Some of the actions we have taken have made significant improvements on energy efficiency, including replacement of lightings to energy-efficient LED to reduce energy consumption and reminding all employees to play a significant part in energy efficiency.

2019

2012

多年来,NCT集团以复兴废弃楼盘的贡献而闻名。在2012年,NCT集团受马来西亚政府委托,复兴该国迄今为止最大的弃置项目——Bandar Salak Tinggi。 NCT集团在短短三年内成功复兴了该项目,并建造了大量双层房屋、2层半排屋和中价公寓。 

黄赛军

合同副总经理

黄赛军女士于2019年9月1日获委任为公司合同副总经理。

黄女士毕业于英国诺丁汉特伦特大学,获得工料测量和建筑估算学士学位。 她于1999年开始她的职业生涯,此后在该领域积累了20多年的经验。

她的专业工料测量和建筑估算已遍及亚洲和中东地区。 她在接触前和接触后的全方位工料测量职能方面经验丰富,如可行性研究、成本估算、招标文件和采购、合同管理和成本控制。

获委任前,黄女士曾为多项本地及国际综合发展项目贡献其专业知识。在任职期间,她在合同部主要负责计划、实施及控制与采购、合约管理及预算有关的所有活动,以及为集团向利益相关者传达及呈交资料。

黄女士未在上市公司和上市发行人担任任何董事职务。

郑两德

发展部总经理

郑两德先生于2019年9月1日获委任为公司发展部总经理。

郑先生负责监督公司的物业管理,包括:协调和监控从规划阶段到移交的物业开发活动的进度。他毕业于国立高雄理工学院的土木工程专业。

郑先生于1983 年开始其职业生涯,并在房地产开发行业积累了超过38年的经验。 他曾担任多家本地公司的项目协调员、项目经理、总经理和董事总经理。

他的专业领域是房地产和建筑管理,专门负责监督建筑工程。凭借其丰富的行业经验,他负责项目实施,确保和监督物业建设的顺利实施,以在时间、预算和质量范围内完成项目。

郑先生未在上市公司和上市发行人中担任任何董事职务。

陈建富

首席财务官

陈建富先生于2021年1月25日获委任为公司首席财务官。

陈先生毕业于澳大利亚悉尼科技大学,获得会计和金融商业学士学位。他的职业生涯始于Ernst & Young会计师事务所,担任一名外部审计师。他在企业融资、改善内部控制运营、收购结构规划、税务规划和风险管理方面拥有超过 20 年的工作经验。

陈先生目前是一名澳大利亚注册会计师 (CPA) 和马来西亚会计师协会 (MIA) 的成员。 他在被委任之前的职业生涯,是曾在马来西亚其他上市公司担任过各种高级财务职位。

陈先生并未在上市公司及上市发行人担任任何董事职务。

叶军肌

独立非执行董事

叶军肌先生于2019年9月25日被委任为本公司的独立非执行董事。他也是审计委员会、提名与薪酬委员会的主席。

叶先生于1993年在新加坡一家特许会计师事务所开始其职业生涯,担任一名审计助理。 随后,他在马来西亚、新加坡和印度尼西亚的房地产发展和建筑相关行业继续他的职业生涯。

他拥有多项国际专业文凭,例如:马来西亚特许会计师 (CA)、新加坡注册会计师 (CPA)、英国特许公认会计师 (FCCA) 和东盟注册会计师 (ASEAN CPA)等等。他目前是Montree Management Services的业主。

他在会计、税务、财务、行政、财务管理和咨询服务方面拥有超过 25 年的工作经验。此外,他在审计、涉及企业行使、清算、恢复和周转管理以及企业咨询的咨询工作领域积累了丰富的宝贵经验。 在他的职业生涯中,他曾担任过多个高级管理职位。

叶俊杰

非独立非执行董事

叶俊廷先生为本公司执行董事,并于2019年8月22日获委任为董事会成员。

叶先生获得英国诺丁汉特伦特大学的工料测量和建筑估算学士学位。2006年,他开始了在房地产发展领域的职业生涯,同时担任合同执行员职位。随后,他于2007年晋升为合同主管,并主要负责合同采购部和合同管理工作。

叶先生在房地产发展和房地产相关行业拥有超过14年的工作经验,目前担任集团执行董事,主要负责监管各公司的所有房地产开发和建设项目。

叶先生未在其他上市公司和上市发行人担任董事职务,只有在多家私人有限公司担任董事职务。

叶先生是拿督斯里叶银财的儿子,也是拿督叶福财的侄子。他也是叶佩尔的哥哥和叶俊杰的堂兄。

莊奇融

高级独立非执行董事

莊奇融先生是本公司的Senior-Independent Non- Executive Director。他于2008年6 月30日被委任为董事会成员,随后于2013年4月24日被委任为高级独立非执行董事。

莊先生是审计委员会、提名与薪酬委员会成员。 他也是马来西亚股票交易所主板的上市公司—— Southern Acids (M) Berhad 的首席财务员。

作为特许公认会计师公会(ACCA)的毕业生和马来西亚会计师协会(MIA)的会员,莊先生拥有超过20年的工作经验。他专门从事在企业规划、集资、资金管理、投资者关系活动、税务规划、财务管理方面和各行业的风险管理。

集团执行董事

拿督叶福财为本公司集团执行董事,并于2019年8月22日获委任为董事会成员。他于 2019 年9月25日由执行董事调任为集团执行董事。

拿督叶福财在瓷砖、建筑和房地产开发业务方面拥有丰富的经验。 在他高瞻远瞩的领导下,他为公司完成了数百万美元的重大项目。

拿督叶福财在房地产发展和房地产相关业务方面拥有超过35年的经验。在2008年,他与他的兄弟拿督斯里叶银财进军房地产发展领域。在拿督叶福财的监督下,他修复了一项当时马来西亚最大的废弃项目之一—— Bandar Salak Perdana。此外,他也曾经把云顶高原的另一个废弃项目成功复兴,项目现为云顶高原 “玖霄明阁” (Genting Ion Delemen)。

拿督斯里叶银财是本公司的执行主席兼集团董事总经理,并于 2019 年 8 月 22 日被任命为董事会成员。拿督斯里叶银财于2019 年11月19日从集团董事总经理调任为执行主席兼集团董事总经理。

拿督斯里叶银财在房地产开发和房地产相关业务方面拥有40多年的经验。他的职业生涯始于瓷砖承包商。在1985年,他成立了自己的公司,专门从事瓷砖工程,进军建筑行业。在1997年,他再进一步成立了建筑公司。 总体而言,他已完成发展项目的估计总发展价值约为10亿令吉。

在拿督斯里叶银财完成的瓷砖和建筑项目中包括有:酒店、公寓、住宅商业中心、普特拉贾亚总理办公室和住宅,以及马来西亚各地的各种政府项目。2008年,他进军房地产发展,成功复兴了多项废置楼盘。其中主要项目是当时马来西亚最大的废弃项目之一 —— Bandar Salak Perdana,并于2014年竣工后移交给业主。
